End-User License Agreement

1. Definitions

In this EULA, the following terms shall have the meanings set forth:

• "Licensor" refers to Greek Squad LLC, a Michigan company.
• "Software" refers to any proprietary diagnostic, monitoring, or remote access software provided by Licensor.
• "Services" refers to the remote technical support and consulting provided by Licensor's technicians.
• "End-User" or "You" refers to the person or entity using the Software or receiving the Services.

2. Grant of Limited License

Licensor grants the End-User a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for the purpose of receiving the Services. This license is explicitly conditioned upon your acceptance of all terms contained herein and payment for the applicable Services.

2.1. Scope of Service License

By initiating a remote session, you grant the Licensor's technician a limited, temporary license to access, view, modify, and delete files or settings on your device as reasonably necessary to perform the requested Services. This access is terminated immediately upon the end of the remote session.

3. Restrictions and Prohibited Use

You may not, nor permit others to:

1. Reverse engineer, decompile, or disassemble the Software.
2. Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or Services to any third party.
3. Use the Software or Services to infringe on any third party's intellectual property rights or privacy.
4. Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Software.

4. Intellectual Property & Ownership

The Software and all Services, including source code, documentation, images, and any accompanying materials, are the sole property of Greek Squad LLC and are protected by copyright, trademark, and other laws. This EULA grants you only the right to use the Software and Services; it does not transfer any ownership rights to you.

5. End-User Responsibility for Data Backup

You acknowledge and agree that it is solely your responsibility to back up all data, software, information, and files stored on your computer's hard drive and peripherals before the Services are performed.

Greek Squad LLC shall not be responsible at any time for any loss, alteration, or corruption of any data, software, or files. Our technicians will make reasonable efforts to avoid data loss, but we cannot guarantee that data will not be lost during the provision of Services.

6. Disclaimer of Warranty

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7. Limitation of Liability

IN NO EVENT WILL GREEK SQUAD LLC BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR INDIRECT DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE USE OF THE SOFTWARE/SERVICES, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE).

The Licensor’s maximum cumulative liability arising from or relating to the use of the Services or Software shall be limited to the amount actually paid by you to Greek Squad LLC for the Services during the three (3) months prior to the time the cause of action arose.

8. Termination

This EULA is effective until terminated. Licensor may terminate this EULA immediately and without notice if you fail to comply with any term of this Agreement. Upon termination, you must immediately cease all use of the Software and Services and destroy all copies of the Software.

9. Governing Law and Venue

This EULA shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Lansing, Michigan for any dispute arising out of this EULA.
